Payment & Points Terms of Service 決済・ポイント利用規約

The Service accepts the following payment methods. 本サービスでは、以下の決済手段を提供します。

• Credit cards — Visa, Mastercard, JCB, American Expressクレジットカード（VISA・Mastercard・JCB・American Express）
• Bank transfer (advance payment)銀行振込（前払い）
• Invoice payment — corporate members with approved credit only請求書払い（与信審査通過済みの法人会員のみ）
• Third-party payment processors (e.g. Stripe) designated by izmotech決済代行サービス（Stripe等、当社が指定するサービス）

Members pay a recurring subscription fee according to their chosen plan. 会員は、選択したプランに応じた月額または年額のサブスクリプション料金をお支払いいただきます。

• Monthly plan: billed automatically on the same date each month as the subscription start date月額プラン：毎月の契約開始日と同日に自動請求
• Annual plan: billed in full on the subscription start date年額プラン：契約開始日に一括請求
• All prices are tax-inclusive; consumption tax is added in accordance with applicable law料金は税込み表示とし、消費税は適用法令に従い加算します
• Bank transfer fees are borne by the member銀行振込の場合、振込手数料は会員負担とします
• Invoice payments are due within 30 days of the invoice date請求書払いの場合、請求書発行日から30日以内にお支払いください

izmotech may revise fees under the following conditions. 当社は、以下の条件のもと料金を改定することができます。

• Members will be notified by email or in-service notice at least 60 days before the change takes effect改定の60日前までに会員へ電子メールまたはサービス内通知にてお知らせします
• Members may cancel before the revised price takes effect会員は改定前に解約することができます
• Continued use of the Service after the effective date constitutes acceptance of the new pricing改定後も本サービスを継続利用した場合、改定後の料金に同意したものとみなします

• izmotech may restrict account features if payment is overdue支払期日を過ぎた場合、当社は会員アカウントの機能を制限することがあります
• Accounts may be suspended after 30 or more days of non-payment30日以上の滞納が生じた場合、アカウントを停止することがあります
• Late fees may be charged at up to 14.6% per annum (pro-rated daily)延滞料は年利14.6%（日割計算）を上限として請求する場合があります
• Reasonable collection costs (including legal fees) are borne by the member滞納債権の回収にかかる合理的な費用（弁護士費用等）は会員が負担します

Credit card and certain other payments are processed by third-party payment processors. クレジットカード決済等には第三者の決済代行サービスを利用します。

• Members must also agree to the terms of the applicable payment processor決済代行サービス事業者の利用規約・プライバシーポリシーにも同意が必要です
• izmotech does not store raw card data (PCI DSS compliant)当社はカード番号等の決済情報を直接保持しません（PCI DSS準拠）
• izmotech is not liable for outages or errors caused by third-party payment processors決済代行サービス起因の障害について、当社は責任を負いません

Refunds will be issued in the following circumstances. 以下のいずれかに該当する場合、当社は返金に応じます。

• Service unavailable for 30 or more consecutive days due to a system failure caused by izmotech — pro-rated refund for the outage period当社のシステム障害により、サービスを連続30日以上提供できなかった場合（障害期間相当分の日割返金）
• Duplicate or erroneous billing — full refund二重請求・過誤請求が発生した場合（全額返金）
• Cancellation submitted before a notified price change takes effect — pro-rated refund for the unused period料金改定の通知後、改定前に解約申請を行った場合（未使用期間の日割返金）
• Other cases where izmotech determines a refund to be warranted当社の判断で、特別に返金が相当と認めた場合

Refunds will not be issued in the following cases. 以下の場合は原則として返金に応じません。

• Current month's fee for a monthly plan (service already in use)月額サブスクリプションの当月分（既に利用開始した期間）
• Remaining period of an annual plan cancelled mid-term年額プランの残存期間分（中途解約の場合）
• Matches made on the platform where a trade did not ultimately closeマッチングが成立したが取引が成立しなかった場合
• Errors or misunderstandings on the member's part会員自身の操作ミス・認識相違による場合
• Accounts suspended or terminated due to a Terms violation本規約違反により当社がアカウントを停止・解約した場合

• Submit a refund request via the in-service support form or designated email address返金申請は、サービス内のサポートフォームまたは指定メールアドレスへご連絡ください
• izmotech will notify you of the review outcome within 7 business days of receipt申請受付後、7営業日以内に審査結果をご連絡します
• Approved refunds will be issued within 14 business days, to the original payment method where possible返金が認められた場合、承認から14営業日以内に原則として元の決済手段へ返金します
• Bank transfer refund fees are covered by izmotech銀行振込による返金の場合、振込手数料は当社負担とします
• Foreign-currency refunds are calculated at the exchange rate on the date of processing外貨建て取引の返金額は、返金処理時のレートを適用します

• Redeemable only for discounts on paid features within the Service本サービス内の有料機能・オプションサービスの利用料金値引きにのみ使用可能
• Cannot be converted to cash, fiat currency, or crypto-assets現金・法定通貨・暗号資産への換金不可
• Transfer, sale, or exchange for value is prohibited第三者への譲渡・売買・換金取引を禁止
• Points cannot be transferred between member accounts会員間のポイント移転不可
• Points expire upon account deactivation or termination, with no compensation会員退会時またはアカウント停止時に失効（補償なし）

Points are awarded under the following conditions. 以下の条件でポイントを付与します。

• Subscription fee payment: 1 point per ¥100 paidサブスクリプション料金の支払い：100円につき1ポイント付与
• Confirmed match (after mutual consent is recorded): 50 points per matchマッチング成立（双方合意の記録確認後）：1件につき50ポイント付与
• Referral program: 200 points after the referred member completes their first month's payment会員紹介プログラム：紹介された会員の初月課金完了後に200ポイント付与
• Campaigns & promotions: as defined by izmotech on a case-by-case basisキャンペーン・特典：当社が別途定める条件に基づき付与

• 1 point = ¥1 discount1ポイント＝1円相当の値引きとして利用可能
• Minimum redemption unit: 100 points (¥100)利用は100ポイント（100円）単位
• Maximum per transaction: 50% of the total charge1回の決済でのポイント利用上限：決済金額の50%相当まで
• Eligible services: monthly/annual subscription fees and optional add-on charges利用可能サービス：月額・年額サブスクリプション料金、オプション機能の追加費用
• Not applicable to matching fees (Tradexo operates as a pure matching model with no such fees)マッチング手数料への充当は不可（本サービスは純マッチングモデルのため該当なし）

• Each point batch expires 12 months from the date of award各ポイントの有効期限は付与日から12ヶ月
• Email reminders are sent 3 months and 1 month before expiry有効期限の3ヶ月前・1ヶ月前に会員へメール通知
• Expired points are forfeited automatically; no restoration or compensation is provided有効期限を経過したポイントは自動失効し、復活・補償は行いません
• Points are consumed on a first-in, first-out (FIFO) basisポイントは先入先出（FIFO）方式で消費します

izmotech may cancel or adjust points in the following cases. 以下の場合、当社はポイントを取り消し・調整できます。

• Points awarded in connection with a transaction that is subsequently refunded返金処理が発生した取引に伴い付与したポイント
• All points held by a member found to have engaged in fraud or a Terms violation不正行為・規約違反が判明した場合の全ポイント
• Points awarded in error due to a system failureシステム障害等による誤付与ポイント
• Other cases where izmotech determines cancellation to be appropriate当社の判断で取消が相当と認める場合

• izmotech may modify earn rates, redemption conditions, or expiry terms当社は、ポイントの付与率・利用条件・有効期限等を変更できます
• Members will be notified at least 30 days before changes take effect変更の30日前までに会員へ通知します
• If the program is terminated, members will be notified at least 60 days in advance and given a final redemption window for remaining pointsポイントプログラムを終了する場合、60日前までに通知し、残存ポイントの利用期間を設けます
• No cash compensation will be provided for remaining points upon program terminationプログラム終了時の残存ポイントに対する現金補償は行いません

• Payment records are retained for 7 years in accordance with applicable law (e.g. Electronic Bookkeeping Act, Consumption Tax Act)決済記録は、関連する法令（電子帳簿保存法・消費税法等）に基づき7年間保管します
• Members may download electronic receipts and invoices after payment is confirmed会員は、決済完了後に電子領収書・請求書のダウンロードができます
• Records will be retained for legally required periods even after account deletion会員退会後も、法的義務のある期間は記録を保持します

• Consumption tax at the applicable rate is added to fees charged to members in Japan日本国内の会員への請求は、適用される消費税率を加算します
• For overseas members, any local value-added tax, customs duties, or similar charges are the member's responsibility海外会員への請求については、現地の付加価値税・関税等は会員が負担します
• izmotech intends to register as a qualified invoice issuer under Japan's Invoice System (Tekikaku Seikyūsho Seido)当社はインボイス制度対応の適格請求書発行事業者として登録を予定しています

• These Terms are governed by the laws of Japan本規約は日本法を準拠法とします
• The Tokyo District Court shall have exclusive jurisdiction of first instance over any disputes arising from these Terms本規約に関する紛争については、東京地方裁判所を第一審の専属的合意管轄裁判所とします
• Overseas members also agree to Japanese law and the above jurisdiction会員が海外事業者の場合も、日本法および上記管轄に同意するものとします

• izmotech may amend these Terms as necessary当社は、必要に応じ本規約を変更できます
• Material changes will be communicated by email or in-service notice at least 30 days before taking effect重要な変更は、効力発生の30日前までにメール・サービス内通知で告知します
• Minor changes (e.g. typographical corrections) may be made without prior notice軽微な変更（誤記訂正等）は事前通知なく変更する場合があります
• Continued use of the Service after an amendment takes effect constitutes acceptance of the revised Terms変更後も本サービスを継続利用した場合、変更後の規約に同意したものとみなします
